Terms of Service

These terms set out the ground rules for working with TheManki — clear expectations on both sides so projects run smoothly.
01. Acceptance of these terms
These Terms of Service ("Terms") govern your use of themanki.com and any services provided by TheManki — a brand operated by Sanam Designs Wallah – Manki Space ("TheManki", "we", "us"). By using our website or engaging our services, you agree to these Terms. If you do not agree, please do not use the site or our services.
02. Our services
TheManki provides custom software and website development, ERP solutions, WhatsApp and AI automation, retention & loyalty software, branding, and related consulting. The specific deliverables, scope, timelines and fees for any engagement are defined in a separate written proposal, quotation or statement of work ("SOW") agreed between you and us. Where an SOW conflicts with these Terms, the SOW prevails for that engagement.
03. Engagements, quotes and scope
Quotations and proposals are valid for the period stated in them. Work begins after the agreed advance is received and requirements are confirmed in writing.
Any work outside the agreed scope ("change requests") will be quoted and approved separately before it is carried out, and may affect timelines and fees.
04. Your responsibilities
To deliver on time, we rely on your cooperation. You agree to:
- Provide accurate information, content, access and approvals in a timely manner;
- Ensure you have the rights to any material (logos, text, images, data) you supply to us;
- Designate a point of contact empowered to give feedback and sign-offs;
- Use any software, account or credential we provide lawfully and securely.
Delays in providing inputs or approvals may extend timelines accordingly.
05. Fees and payment
Fees, payment schedule and milestones are set out in the applicable proposal or SOW. Unless stated otherwise, an advance is payable before work starts, with the balance billed against milestones or on a monthly retainer.
All fees are exclusive of applicable taxes (including GST), which will be charged additionally. Invoices are payable by the due date stated; overdue amounts may attract a reasonable late fee and we may pause work until dues are cleared.
06. Intellectual property and ownership
On full payment of all fees due for an engagement, the final deliverables created specifically for you under that engagement become your property, except as noted below.
- We retain ownership of our pre-existing tools, frameworks, libraries, and know-how, and grant you a licence to use them as embedded in your deliverables;
- Third-party components, plugins, fonts, stock assets and licensed software remain governed by their own licences;
- Until full payment is received, all deliverables and rights remain with TheManki.
Unless you opt out in writing, we may reference your project and display non-confidential work in our portfolio and marketing.
07. Confidentiality
Each party agrees to keep the other's non-public business and technical information confidential and to use it only to perform the engagement. This obligation continues after the engagement ends and does not apply to information that is public, already known, or required to be disclosed by law.
08. Warranties and disclaimers
We perform our services with reasonable skill and care and in a professional manner. Beyond this, the website and services are provided "as is" without further warranties of any kind, express or implied, to the extent permitted by law. We do not warrant that the site will be uninterrupted or error-free, or that any marketing, ranking or business outcome will be achieved, as such results depend on many factors outside our control.
09. Limitation of liability
To the maximum extent permitted by law, TheManki shall not be liable for any indirect, incidental, special or consequential loss, or loss of profits, revenue, data or goodwill. Our total aggregate liability arising out of or relating to an engagement shall not exceed the total fees paid by you to us for that engagement in the three (3) months preceding the event giving rise to the claim.
10. Third-party services
Our solutions may integrate with or rely on third-party platforms (for example hosting, payment gateways, WhatsApp Business, GST and accounting systems, analytics and AI providers). Your use of those services is subject to their terms, and we are not responsible for their availability, changes or actions.
11. Termination
Either party may terminate an engagement as provided in the SOW or on reasonable written notice. On termination you remain liable for fees for work performed and costs committed up to the termination date. Sections relating to payment, intellectual property, confidentiality and liability survive termination.
12. Governing law and jurisdiction
These Terms are governed by the laws of India. Subject to any agreement to attempt good-faith resolution first, the courts at our principal place of business in India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or our services.
