Channel Partner Agreement

This Channel Partner Agreement ("Agreement") sets out the terms on which a partner ("Partner", "you") is appointed to promote, refer or resell the products and services of TheManki — a brand operated by Sanam Designs Wallah – Manki Space ("TheManki", "we", "us").
It is a plain-language summary of how our partnership works. The specific rewards — partner type, Manki Credits, lucky-draw band, territory and targets — are recorded in a Partner Schedule signed by both parties, which forms part of this Agreement. For a binding engagement, both parties sign a final version reviewed by their own advisors.
01. Appointment and partner type
We appoint you as a non-exclusive partner to promote and, where applicable, resell our products, unless the signed Partner Schedule expressly grants exclusivity (for example, a Regional/Franchise territory).
- Reseller / Channel Partner: you market and resell the products to your own customers, and earn a commission and program rewards on each collected sale.
- Referral Partner: you introduce prospective customers to us; we handle the sale, delivery and support, and you earn a commission and program rewards on each closed referral.
- Regional / Franchise Partner: you are granted exclusive rights to a defined territory under the Manki brand, subject to a one-time onboarding and territory targets.
02. Your responsibilities
As a Partner, you agree to:
- Represent TheManki and its products honestly, and never make commitments, guarantees or claims beyond our published materials.
- Comply with all applicable laws, including data-protection, consumer and anti-bribery laws, and maintain any registrations (such as GST) required to receive payouts.
- Protect our brand and not use our name, logos or materials except as permitted for approved partner activity.
- Register referrals and deals to your partner code and keep customer information confidential.
03. Our responsibilities
We agree to:
- Provide product training, certification, demo access, sales and marketing material and a partner dashboard.
- Provide pre-sales and technical support for registered opportunities, and a partner point of contact.
- Honour deal registration and pay the commission and program rewards (Manki Credits and lucky-draw entries) earned under the Partner Schedule.
- Deliver, license and support the products sold or referred through the partnership.
04. Commission, rewards and the lucky draw
Partners are rewarded through a commission on collected sales together with the program's Manki Credits and the CP Lucky Draw, as set out in the Partner Schedule and the published program materials, which may be updated on reasonable notice.
- A commission is earned on collected sales at the rate recorded in your Partner Schedule, and is paid to your registered account against a valid, GST-compliant invoice.
- Manki Credits accrue on collected sales, are tracked in your partner dashboard, and are redeemable against the published catalogue up to your available balance.
- The CP Lucky Draw offers free automatic entries by sales band, with winners drawn under independent supervision at the Monthly Growth Meet and Annual Partner Awards.
- Redemptions and winnings are provided after KYC, as cash or gifts of equal value, with taxes deducted as required by law.
- There is no joining fee, kit fee or deposit to participate.
05. Deal registration and protection
You register prospective referrals and deals to your partner code. A validly registered and approved opportunity is protected for a defined period, during which we will not pursue that specific opportunity through another partner or channel.
Where two partners register the same opportunity, priority is generally given to the first valid registration with a genuine, active engagement. We resolve conflicts in good faith and our reasonable decision is final.
06. Confidentiality and intellectual property
Each party protects the other's confidential information and uses it only for the partnership. This obligation continues after the Agreement ends.
All intellectual property in our products, brand and materials remains ours. You receive only a limited, revocable licence to use them for approved partner activity, and acquire no ownership rights.
07. Term, termination and non-solicitation
The Agreement runs until ended by either party. Either party may end it on written notice as stated in the Schedule (typically 30 days), and either party may end it immediately for a material breach that is not remedied.
On termination, you stop representing TheManki and return or delete our materials; rewards already earned and vested on closed deals remain payable per the program terms. During the Agreement and for a reasonable period after, neither party solicits the other's staff or registered customers except as agreed.
08. Independent parties and liability
You act as an independent contractor. Nothing here creates an employment, agency, joint venture or exclusive relationship except where the Schedule expressly grants territory exclusivity. Neither party may bind the other beyond what is agreed in writing.
Each party's liability is limited as set out in the signed Agreement and the applicable product terms. This summary does not create liability beyond a final, signed Agreement.
09. Governing law
The partnership is governed by the laws of India, with courts at Guwahati, Assam having jurisdiction, unless the signed Agreement states otherwise.
